Agreement and eligibility
These terms govern access to the Agnicode website, customer platform, and products or services that link to them. By creating an account, placing an order, or using a service, you agree to these terms. If you act for an organization, you confirm that you are authorized to bind it.
Eligibility. You must be at least 18 years old and legally capable of entering a binding contract. The platform is for business use: by an organization, or by an individual acting in a business or professional capacity. It is not offered to children.
How you accept. Before you sign in or create an account, the sign-in page asks you to open and read a notice summarising these terms and the Privacy Notice, then to tick two separate boxes: one agreeing to these terms and one consenting to the processing the Privacy Notice describes. The revision date you accepted is recorded against your account and shown on your Privacy requests page. When either document is revised, you are asked to read and accept the new revision the next time you sign in.
Products, orders, and document priority
Agnicode provides focused software products, account and licensing services, support, and any professional services described in an accepted order form or statement of work. Public descriptions are informational until an order is accepted.
If documents conflict, the following order applies for the conflict: an accepted order form or statement of work, product-specific terms, these terms, and incorporated policies. A purchase order does not override these documents unless Agnicode expressly accepts the change in writing.
Accounts and organization administration
Provide accurate information, protect credentials, use appropriate multifactor security, and promptly report suspected compromise. Organization administrators may invite or remove users, assign roles, manage billing, and control workspace access. You are responsible for activity authorized through your account and for keeping administrator access current.
License and acceptable use
Subject to payment and the applicable order, Agnicode grants a limited, non-exclusive, non-transferable right to use the service during the subscription or license term for the permitted users and purpose. You must follow the Acceptable Use Policy. You may not reverse engineer or circumvent a product except to the limited extent a non-waivable law permits it.
Fees, taxes, renewal, and cancellation
Price, currency, billing interval, included usage, taxes, renewal, and payment due dates are shown before purchase or in the accepted order. You authorize the stated payment method for amounts due. Unless an order says otherwise, cancellation stops future renewal and does not reverse a completed billing period. The Refund and Cancellation Policy and mandatory consumer law apply.
Customer content and data
You retain rights in content you lawfully submit. You grant Agnicode and its providers the limited rights needed to host, process, transmit, secure, back up, and support that content and to comply with lawful instructions. You are responsible for having necessary rights, notices, and permissions. Personal data is handled under our Privacy Notice and any agreed data processing terms.
Intellectual property
Agnicode and its licensors retain rights in the website, platform, products, documentation, designs, trademarks, and underlying technology. No ownership transfers under these terms. Ownership and license terms for custom professional-service deliverables must be stated in the applicable statement of work; these terms do not assume a transfer. Feedback may be used without restriction, provided it does not identify you publicly without permission.
Service operation and changes
We work to operate products reliably and may maintain, update, or change features to improve security, comply with law, or develop the service. We will use reasonable efforts to avoid materially reducing paid core functionality during a current term without notice or an appropriate remedy. Beta or preview features may change or be withdrawn.
Third-party services
Identity, payment, cloud, booking, integration, or external product services may be subject to third-party terms and privacy notices. Agnicode is responsible for selecting and managing its own processors, but is not responsible for an optional third-party service you direct us to use or visit independently.
Suspension and termination
You may stop using the service and cancel as the order permits. We may suspend or terminate access for material breach, non-payment, unlawful use, or an urgent security risk. Where risk and law allow, we will give notice and a reasonable chance to cure. On termination, licenses end and amounts already due remain payable. Provisions that logically survive, including ownership, confidentiality, accrued payment, liability, and dispute terms, continue.
Warranties and mandatory rights
Agnicode will provide paid services with reasonable skill and care and substantially as described in the applicable order. Except for express commitments and rights that cannot lawfully be excluded, services are provided on an “as available” basis and we do not promise uninterrupted, error-free operation or that every output will fit a particular purpose. Nothing in these terms limits non-waivable consumer guarantees.
Liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss that was not reasonably foreseeable when the contract was made. Any contractual cap or allocation stated in an accepted order applies. Without such a term, liability is determined under applicable law. Nothing excludes liability that cannot lawfully be excluded, including liability for fraud or wilful misconduct.
Governing law and disputes
These terms are governed by the laws of India. The parties should first use good-faith written escalation to try to resolve a dispute. Subject to any mandatory consumer forum or other non-waivable jurisdiction, the competent courts at Kanpur Nagar, Uttar Pradesh have jurisdiction. Consumers may also use the grievance process.
Changes and contact
We may update these terms prospectively for legal, security, or product changes. We will provide reasonable notice of a material change that affects a current paid service. Continued use after the effective date means the updated terms apply, unless law requires renewed consent. Send legal questions to legal@agnicodetechnologies.com.
